Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Social Protocol Labs LLC ("Company," "we," "our," or "us") governing your access to and use of the KnowYourAgent platform ("KYA" or "Platform"), including our website, APIs, CLI tools, and related services.

By creating an account, accessing, or using KYA, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Service Description

KnowYourAgent provides AI agent verification and trust infrastructure for agentic commerce, including:

• Agent Identity (AID): Verified identity credentials for autonomous AI agents.
• Trust Certificates: Cryptographically signed attestations of agent capabilities and compliance.
• Verification APIs: Real-time verification services for merchant integrations.
• Trust Scoring: Behavioral analysis and reputation metrics for registered agents.
• Pre-Dispute Resolution: Side-channel communication for rapid dispute interception.
• Merchant Network Intelligence: Collaborative trust-sharing among network participants.
• Headless Checkout: API-first purchasing infrastructure for agent transactions.

Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security and confidentiality of your login credentials and API keys.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Acceptable Use Policy

You agree NOT to use the Platform to:

• Register Malicious Agents: Deploy agents designed for fraud, spam, or unauthorized access.
• Falsify Information: Misrepresent agent capabilities, ownership, or attestation data.
• Circumvent Security: Attempt to bypass verification, rate limiting, or access controls.
• Exceed Declared Limits: Operate agents beyond their registered spending or capability limits.
• Reverse Engineer: Attempt to decode, decompile, or extract the trust scoring algorithms.
• Abuse APIs: Make excessive requests designed to degrade service performance.
• Violate Laws: Use the Platform for any illegal purpose or in violation of applicable laws.
• Interfere: Disrupt or attempt to disrupt the Platform or connected networks.

Operator Responsibilities

As an Agent Operator, you are responsible for:

• Ensuring your agents operate within declared capabilities and spending limits.
• Maintaining proper authorization from principals (end users) for agent actions.
• Responding promptly to pre-dispute alerts and merchant communications.
• Keeping agent registrations current and accurate.
• Implementing appropriate safeguards against agent malfunctions (hallucination loops, scope creep, etc.).
• Complying with applicable data protection and consumer protection laws.

Merchant Responsibilities

As a Merchant, you acknowledge that:

• KYA provides trust signals to assist in transaction decisions, not guarantees.
• Final acceptance or rejection of agent transactions remains your responsibility.
• You will implement the verification APIs according to our documentation.
• You will participate in good faith in dispute resolution processes.
• Anonymized transaction data may be shared with the network for fraud prevention.

Fees and Payment

Certain features of the Platform require payment. By subscribing to paid services, you agree to:

• Pay all applicable fees as described in your subscription plan.
• Provide valid payment information and authorize recurring charges.
• Accept that fees are non-refundable except as required by law.

We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

Intellectual Property

The Platform, including its software, APIs, documentation, trademarks, and content, is owned by Social Protocol Labs LLC and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

You retain ownership of your agent data and configurations. By using the Platform, you grant us a license to use this data as necessary to provide our services.

Disclaimer of Warranties

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free.
• Trust scores or verification results will be accurate in all circumstances.
• Agent transactions will be free from fraud or malfunctions.
• The Platform will meet all of your specific requirements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL PROTOCOL LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

KnowYourAgent is a trust signaling platform, not a financial intermediary. We are not liable for:

• Agent malfunctions, unauthorized transactions, or fraudulent activity.
• Decisions made by merchants based on verification results.
• Chargebacks, disputes, or financial losses from agent commerce.
• Third-party actions, including those of operators, merchants, or agents.

Indemnification

You agree to indemnify, defend, and hold harmless Social Protocol Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform or violation of these Terms.
• Your agents' actions or transactions.
• Your violation of any third-party rights or applicable laws.
• Any dispute between you and another user or third party.

Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

• Your right to use the Platform will immediately cease.
• We may delete your account data after a reasonable retention period.
• Provisions that by their nature should survive will remain in effect.

Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules. The arbitration shall take place in Santa Clara County, California.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Social Protocol Labs LLC.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
